DINO DEN HOME CARE MEMBERSHIP AGREEMENT

1. MEMBERSHIP COVERAGE & ELIGIBILITY

This Dino Den Home Care Membership Agreement ("Agreement") is entered into between Midab, LLC d/b/a Dino Plumbing & Service Pros ("Dino Den," "we," "us") and the account holder ("Member," "you"). Membership is limited to residential single-family properties located within Dino Den’s active service areas in Washington County and Cedar City, Utah.

2. TERM, AUTOMATIC RENEWAL, & BILLING

a. Initial Term & Monthly Fee: You agree to an initial term of twenty-four (24) consecutive months ("Initial Term") at a recurring rate of $19.99 per month (plus applicable Utah sales tax), billed automatically on a monthly basis to the credit or debit card provided at sign-up. Total initial term cost is $479.76 before applicable taxes.

b. Month-to-Month Automatic Renewal: UPON EXPIRATION OF THE 24-MONTH INITIAL TERM, THIS AGREEMENT WILL AUTOMATICALLY RENEW ON A MONTH-TO-MONTH BASIS AT THE THEN-CURRENT STANDARD MONTHLY RATE UNLESS AND UNTIL YOU CANCEL IN ACCORDANCE WITH SECTION 3.

c. Payment Processing & Failed Charges: Payments are processed via Stripe. If a payment fails, Dino Den will attempt billing retries. Dino Den reserves the right to suspend membership benefits during any period where payments are past due. Past due accounts over 60 days may be sent to collections.

3. CANCELLATION & EARLY TERMINATION POLICIES

a. How to Cancel: You may cancel your membership at any time online through your "My Dino Home" customer account portal, by calling (435) 236-4568, or by emailing support@dinoservicepros.com.

b. Cancellation During Initial Term: If you cancel prior to completing the 24-month Initial Term, you agree to pay either (i) the remaining balance of the Initial Term, OR (ii) the full retail value of all membership discounts and services received during your membership (including $0 service visits, tune-ups, and the 10% discount off work completed), whichever total amount is less.

c. Cancellation After Initial Term: Following the Initial Term, you may cancel at any time with zero penalty. Cancellation takes effect at the end of your current monthly billing cycle.

4. MEMBER BENEFITS & SPECIFIC LIMITATIONS

a. Included Benefits: Members receive: (i) One (1) 100+ point Signup Home-Care Assessment (scheduled separately); (ii) One (1) annual furnace OR AC tune-up per year; (iii) One (1) annual water heater flush and safety inspection; (iv) 10% off qualifying plumbing/HVAC retail work; (v) Priority scheduling preference (subject to technician availability; not a guaranteed emergency response timeframe); (vi) $0 initial service visit fee when enrolling on-site; (vii) $29 future standard plumbing diagnostic visits ($99 value); (viii) $45 member HVAC testing ($50 standard value); (ix) Waiver of emergency surcharges; (x) One (1) giftable $0 service visit for a friend/neighbor; and (xi) Eligibility for $250 referral gift card rewards.

b. Discount Exclusions: The 10% membership discount does not apply to: equipment pass-through pricing, municipal permit fees, after-hours emergency calls, third-party financed projects, or promotional/sale items.

c. Water Heater Benefit Limits: Covers up to two (2) standard tank water heaters per residence once per 12-month period. Tankless descaling, commercial systems, or unsafe/corroded tanks requiring specialized servicing are excluded or subject to separate labor fees.

d. Unused Benefits: Annual tune-ups and water heater flushes do not roll over from year to year.

5. NOT INSURANCE / NOT A HOME WARRANTY

DINO DEN HOME CARE IS A PREVENTATIVE MAINTENANCE AND SERVICE DISCOUNT PROGRAM. IT IS NOT INSURANCE OR A HOME WARRANTY PROGRAM UNDER UTAH LAW. REPAIRS AND REPLACEMENTS ARE PRICED SEPARATELY.

6. HOME SALE & RELOCATION

If you sell your home or relocate within Washington County or Cedar City, Utah, your membership may be transferred to your new home address or assigned to the buyer of your home upon 10 days' written notice to Dino Den.

7. WARRANTY SEPARATION

Dino Den provides an independent 18-Month Parts and Labor Warranty on qualifying retail repair work. That warranty applies to all eligible work regardless of membership status and is separate from this Agreement.

8. GOVERNING LAW, E-SIGN CONSENT, & DISPUTE RESOLUTION

This Agreement is governed by the laws of the State of Utah. You consent to conduct business electronically pursuant to the Utah Uniform Electronic Transactions Act (UETA) and federal E-SIGN Act. Any legal disputes shall be resolved in state courts located in Washington County, Utah.
